Hologic continues to march on the acquisition warpath. The Bedford, MA, company this week acquired AEG Elektrofotografie, a German firm that is the sole supplier of the amorphous selenium photoconductor coatings used in Hologic's Selenia full-field digital mammography (FFDM) systems.
Hologic paid 21 million euros ($26.5 million) in cash and stock for the firm, plus a one-year earn-out of 1.7 million euros ($2.1 million). The earn-out will be paid in cash if AEG Elektrofotografie's earnings before interest, taxes, depreciation, and amortization (EBITDA) exceed a certain level.
AEG is based in Warstein, Germany, and in addition to supplying Hologic with photoconductor materials, the firm also develops, manufactures, and sells photoconductor materials for use in various electro-photographic applications, including copying and printing. The company's estimated revenue in calendar year 2005 was 42.7 million euros ($53.9 million).
Hologic said it was making the acquisition to take direct control over a critical step in its detector manufacturing process.
